Terms of Service for Healthcare Personnel
Agile Medical Staffing

1. Introduction
Welcome to Agile Medical Staffing (“Agile,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your relationship with Agile as a healthcare professional (“you,” “Provider”) seeking temporary, contract, locum tenens, or permanent placements through our staffing services. By registering with Agile, you agree to comply with these Terms.
2. Definitions –
**Provider**: Healthcare professionals (e.g., physicians, nurses, medical techs) registered with Agile. – **Facility**: Healthcare institutions where Providers are placed. – **Assignment**: A specific placement or role secured through Agile.
3. Registration and Eligibility –
**Eligibility**: You must hold valid, active licensure, certifications, and credentials required for your profession. – **Background Checks**: You consent to criminal, employment, and credential verification. – **Right to Work**: You confirm legal eligibility to work in the U.S.
4. Compliance with Laws and Regulations –
**HIPAA**: You agree to uphold patient confidentiality and comply with all applicable privacy laws. – **Licensure**: Maintain current licenses and certifications. Notify Agile immediately of any changes or disciplinary actions. – **Facility Policies**: Adhere to all rules, protocols, and codes of conduct at assigned Facilities.
5. Confidentiality and Privacy –
**Non-Disclosure**: Protect proprietary Agile and Facility information. – **Patient Data**: Never disclose protected health information (PHI) outside authorized use.
6. Professional Responsibilities –
**Conduct**: Perform duties competently, ethically, and in accordance with industry standards. – **Attendance**: Fulfill Assignment schedules unless excused by Agile or the Facility. – **Conflict of Interest**: Disclose any conflicts (e.g., prior Facility employment) before accepting Assignments.
7. Payment and Compensation –
**Rates**: Compensation varies by Assignment and is outlined in individual agreements. – **Invoicing**: Submit timesheets via Agile’s portal within 24 hours of Assignment completion. – **Taxes**: As an independent contractor, you are responsible for tax filings (unless classified as W-2 employee).
8. Independent Contractor Status –
**No Employment Relationship**: Providers are independent contractors unless expressly stated otherwise. – **Benefits**: No entitlement to Agile benefits (e.g., health insurance, PTO).
9. Liability and Insurance –
**Malpractice Insurance**: You must maintain active malpractice insurance for clinical Assignments. – **Limitation of Liability**: Agile is not liable for claims arising from your actions or Facility negligence.
10. Termination –
**By Provider**: Provide [X] days’ notice to terminate an Assignment. – **By Agile**: We may terminate your access for breach of Terms, misconduct, or Facility request. – **Immediate Termination**: For cause (e.g., fraud, patient endangerment).
11. Dispute Resolution –
**Arbitration**: Disputes resolved through binding arbitration in Texas, under Arbitration Body rules. – **Governing Law**: These Terms are governed by the laws of Texas.
12. Amendments –
Agile may update these Terms with notice via email or our platform. Continued use constitutes acceptance.
13. General Provisions –
**Entire Agreement**: These Terms supersede prior agreements. – **Severability**: If a provision is invalid, the remainder remains enforceable. – **Notices**: Communications sent via email or registered mail.
